1.Our Services

Utrade Logistics provides freight forwarding, customs compliance and clearance, certificates of origin, phytosanitary services, container drayage, bulk handling, LTL and FTL delivery, fulfillment and consolidation, pharma logistics, household movement, trade advisory, and related supply chain services (“Services”). The specific scope, pricing, and terms of any Service are set out in the quote, order confirmation, or service agreement provided to you, which forms part of these Terms for that engagement.

2.Quotes and Pricing

• Quotes provided through our website, forms, or by our team are estimates based on the information you provide and are subject to change if that information is inaccurate, incomplete, or if actual shipment conditions differ (including weight, dimensions, classification, routing, or applicable duties and tariffs).
• Rates do not include duties, taxes, tariffs, storage, demurrage, detention, or other charges imposed by carriers, customs authorities, or third parties unless expressly stated.
• We reserve the right to correct pricing errors and to decline or cancel an order affected by a pricing error, even after acceptance.

3.Client Accounts

• If you register for a client account to track shipments or manage your services, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to provide accurate, current, and complete information and to update it as needed.
• We may suspend or terminate an account that we reasonably believe is being used fraudulently, in violation of these Terms, or in a manner that risks harm to us, our partners, or other users.

4.Your Responsibilities as a Client

When engaging our Services, you represent and agree that:

• All information you provide regarding your shipment, cargo, and related documentation (including customs declarations, certificates of origin, and value, weight, and content descriptions) is accurate and complete.
• Your goods are lawfully owned or controlled by you, properly packaged, and not prohibited or restricted from import, export, or carriage under applicable law.
• You will provide all documentation and information we reasonably require in a timely manner to allow us to perform the Services, including for customs clearance.
• You are responsible for any delay, cost, penalty, or loss arising from inaccurate, incomplete, or late information or documentation you provide.

5.Payment Terms

• Payment terms will be specified in your quote, invoice, or service agreement. Unless otherwise agreed in writing, invoices are due upon receipt.
• We may charge interest or fees on overdue amounts to the extent permitted by law, and may suspend Services (including release of cargo or documentation) until outstanding amounts are paid.
• We may require a deposit, prepayment, or security for duties, taxes, and charges before performing Services, particularly for customs clearance or high-value shipments.

6.Limitation of Liability

• To the maximum extent permitted by applicable law, our liability for any loss, damage, delay, or claim arising from or related to the Services is limited to the amounts and conditions set out in the applicable service agreement, bill of lading, air waybill, or other governing transport document, and any liability limits imposed by applicable carriage conventions, customs regulations, or carrier tariffs.
• We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business, or goodwill, arising from your use of our website or Services, except to the extent such exclusion is not permitted by applicable law.
• We are not liable for delays, loss, or damage caused by circumstances beyond our reasonable control (see Section 10, Force Majeure), by third-party carriers, customs authorities, or other parties in the supply chain, or by inaccurate or incomplete information you provide.
• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

7.Claims

Any claim relating to loss, damage, or delay of a shipment must be submitted to us in writing, with supporting documentation, within the time period specified in the applicable service agreement or transport document, or as otherwise required by applicable law. Claims submitted after the applicable deadline may be denied.

We will investigate claims in good faith and in accordance with the terms of the relevant carriage documents and applicable law, including any liability limits referenced in Section 6.

8.Customs Compliance

As a licensed customs broker and freight forwarder, we act on your behalf and on the basis of the information and instructions you provide. You remain the importer/exporter of record and are ultimately responsible for the accuracy of customs declarations, tariff classifications, valuations, and compliance with applicable trade laws, unless otherwise agreed in writing.

We may be required to disclose shipment and customs information to government authorities, including customs and border agencies in the jurisdictions where we operate or where your shipment transits.

9.Website Use

You may use our website only for lawful purposes and in accordance with these Terms. You agree not to misuse our website, interfere with its operation, attempt unauthorized access to our systems, or use automated means to scrape or extract content without our written permission.

All content on our website — including text, graphics, logos, and tools such as our Tax Calculator and Tariff Search — is owned by or licensed to Utrade Logistics and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our written permission.

10.Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, extreme weather, war, terrorism, civil unrest, labor disputes, port congestion, carrier capacity constraints, government action, customs delays, or other events of a similar nature.

11.Careers and Job Applications

Information you submit through our Careers page is used solely to evaluate your application, in accordance with our Privacy Policy. Submitting an application does not guarantee an interview, offer, or employment.

12.Third-Party Services and Links

Our website may link to or integrate with third-party platforms (for example, social media platforms, messaging services, or advertising networks) to help you contact us or learn about our Services. We are not responsible for the content, accuracy, or practices of third-party platforms, which are governed by their own terms and privacy policies.

13.Termination

We may suspend or terminate your access to our website or Services, or decline to provide Services, at our discretion — including where you breach these Terms, where required by law, or where necessary to protect our business, employees, or other clients. Termination does not affect any rights or obligations that accrued prior to termination, including payment obligations.

14.Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, Services, or for legal reasons. Changes will be posted on this page with a revised “Last updated” date. Your continued use of our website or Services after changes take effect constitutes acceptance of the updated Terms.

15.Governing Law and Disputes

Utrade Logistics operates in multiple jurisdictions, including the United States, Canada, and Pakistan. Unless otherwise specified in your service agreement, the governing law and venue for any dispute will be as set out in that agreement. Where no service agreement specifies otherwise, disputes will be governed by the laws of the jurisdiction of the Utrade Logistics office that issued your quote or invoice, without regard to conflict-of-law principles.

16.Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
